DEANAN PRODUCTS INC.
ONLINE FUNDRAISING TERMS AND CONDITIONS
These Online Fundraising Terms and Conditions (“Terms”) govern participation in the Deanan Products Inc. online fundraising program (“Program”). By creating, managing, participating in, or accepting proceeds from an online fundraising campaign, the Organizer and participating Fundraisers agree to these Terms.
For purposes of these Terms, “Deanan” means Deanan Products Inc., doing business as Deanan Gourmet Popcorn. “Organizer” means the individual or authorized representative responsible for establishing and managing a fundraising campaign. “Fundraiser” or “Participant” means an individual participating in or promoting the campaign on behalf of the Organizer.
1. ORGANIZER AUTHORITY
The Organizer represents that they are authorized to establish the fundraising campaign on behalf of the school, team, organization, club, nonprofit, church, group, or other entity identified during registration.
The Organizer is responsible for ensuring that all information provided to Deanan is accurate and that the fundraising activity is authorized by the organization the Organizer represents.
Deanan reserves the right to request documentation verifying the Organizer’s authority to represent the organization.
2. FUNDRAISER AND PARTICIPANT RESPONSIBILITIES
Participants may promote the fundraising campaign and direct customers to the designated Deanan online fundraising page.
Participants do not independently receive fundraising proceeds from Deanan unless specifically authorized by Deanan and the Organizer. Sales generated by Participants are credited toward the applicable campaign.
The Organizer is responsible for resolving any internal distribution of proceeds, prizes, incentives, or credits between the organization and individual Participants.
Deanan is not responsible for disputes between an Organizer, organization, or Participant regarding the internal use or distribution of fundraising proceeds.
3. CAMPAIGN SALES
Purchases must be completed through the designated Deanan online fundraising campaign in order to receive fundraising credit.
Only eligible sales successfully processed and attributed to the campaign will be included when calculating fundraising proceeds.
Orders placed outside the designated campaign, transactions that cannot reasonably be attributed to the campaign, canceled or refunded orders, fraudulent transactions, and chargebacks may be excluded from fundraising calculations.
4. FUNDRAISING PROCEEDS
The Organizer will receive the fundraising percentage or amount communicated by Deanan for the applicable fundraising program when the campaign is established.
Fundraising proceeds are calculated from qualifying campaign sales and may be adjusted for refunds, cancellations, chargebacks, fraudulent transactions, payment disputes, or other transactions later determined to be invalid.
The fundraising percentage or payment structure applicable to a campaign will be established prior to or at the beginning of the campaign.
5. W-9 AND PAYMENT INFORMATION
A Form W-9 is not required to register for, establish, begin, or operate a Deanan online fundraising campaign.
An Organizer may begin fundraising and generating qualifying sales without first submitting a Form W-9 or final payment information.
However, Deanan will not issue or remit fundraising proceeds until all required payment and tax information has been received and accepted by Deanan.
Before receiving payment, the Organizer or organization receiving the fundraising proceeds must provide Deanan with:
- A completed and signed IRS Form W-9, Request for Taxpayer Identification Number and Certification;
- The legal name of the individual or organization receiving payment;
- Organization or business name, if different;
- Current mailing address;
- Taxpayer Identification Number (“TIN”), Employer Identification Number (“EIN”), or other applicable taxpayer information as reflected on the Form W-9;
- Current telephone number and email address;
- Any information reasonably necessary for Deanan to issue the payment; and
- Any additional information reasonably required for accounting, tax reporting, fraud prevention, payment processing, or legal compliance.
The legal name and taxpayer information provided for payment must be consistent with the information contained on the Form W-9.
Incomplete, inaccurate, unsigned, or conflicting information may delay payment.
Completion of a fundraising campaign does not waive the requirement to provide a properly completed Form W-9 and required payment information before payment can be issued.
6. RESPONSIBILITY FOR PAYMENT INFORMATION
The Organizer is responsible for ensuring that all payment, tax, mailing, contact, and other information supplied to Deanan is complete and accurate.
Deanan is not responsible for delays, returned payments, misdirected payments, or other payment issues resulting from inaccurate or incomplete information supplied by the Organizer.
If payment must be canceled or reissued because of incorrect information supplied by the Organizer, Deanan may require corrected documentation before issuing another payment.
7. TAX REPORTING
The Organizer acknowledges that fundraising payments may be subject to federal, state, or local tax reporting requirements.
Deanan may prepare and issue any tax documentation or informational reporting required by applicable law.
The Organizer and the organization receiving proceeds are responsible for determining the appropriate tax treatment of funds received through the Program.
Deanan does not provide tax or legal advice to Organizers, Participants, or participating organizations.
8. PAYMENT TIMING
Fundraising proceeds will be calculated after the campaign closes and Deanan has had a reasonable opportunity to reconcile qualifying sales, refunds, cancellations, chargebacks, payment disputes, and other necessary adjustments.
Payment cannot be released until Deanan has received and accepted the required Form W-9 and other required payment information.
Any payment timeframe communicated by Deanan assumes that the Organizer has timely submitted complete and accurate payment documentation.
Failure to submit the required information may delay payment but does not prevent an Organizer from beginning or completing a fundraising campaign.
9. DEANAN CONTACT ATTEMPTS AND UNCLAIMED FUNDRAISING PROCEEDS
If a campaign has closed and Deanan does not have the information necessary to issue the Organizer’s fundraising payment, Deanan will make three (3) reasonable documented attempts to contact the Organizer using the contact information provided during the campaign.
These contact attempts may be made by email, telephone, or a combination of email and telephone.
It is the Organizer’s responsibility to maintain current contact information with Deanan and to respond to requests for payment documentation.
If the Organizer does not respond or fails to provide the required Form W-9 or other required payment information, Deanan will hold the unpaid fundraising proceeds for up to twelve (12) months following the official closing date of the applicable campaign, subject to applicable law.
During this period, the Organizer may claim the funds by providing the required documentation and any additional information reasonably necessary for Deanan to verify and process the payment.
If the fundraising proceeds remain unclaimed after twelve (12) months, Deanan may, where legally permitted, designate the funds for donation to a nonprofit or charitable organization selected by Deanan.
However, any unclaimed fundraising proceeds remain subject to applicable federal and state laws governing unclaimed or abandoned property. If applicable law requires Deanan to continue holding, report, transfer, or remit the funds to the Texas Comptroller of Public Accounts or another governmental authority rather than donate the funds, Deanan will comply with those legal requirements.
Nothing in these Terms authorizes Deanan to retain, donate, transfer, or otherwise dispose of fundraising proceeds in a manner prohibited by applicable law.
10. REFUNDS, RETURNS, CANCELLATIONS, AND CHARGEBACKS
Refunded, canceled, disputed, fraudulent, or charged-back transactions may be removed from the campaign’s qualifying sales total.
If a refund or chargeback occurs after fundraising proceeds have been calculated or paid, Deanan may offset the amount against future proceeds owed to the Organizer or seek repayment where appropriate.
Customer refunds and order issues will be handled according to Deanan’s applicable customer service, refund, replacement, and shipping policies.
11. SHIPPING AND CUSTOMER ORDERS
Unless otherwise stated for a specific campaign, products purchased through the online fundraising Program will be processed and shipped by Deanan to the shipping address provided by the customer.
Customers are responsible for supplying complete and accurate shipping information.
Shipping charges, taxes, and other transaction-related charges may not be included when calculating fundraising proceeds unless specifically stated by Deanan for the applicable Program.
12. CAMPAIGN DATES
Each campaign may have an established beginning and closing date.
Sales completed outside the campaign period may not qualify for fundraising credit.
The official campaign closing date will also be used when determining the beginning of the twelve-month period described in Section 9 for unpaid fundraising proceeds.
Deanan may extend, modify, suspend, or terminate a campaign when reasonably necessary because of operational requirements, fraud concerns, technical issues, product availability, regulatory requirements, or other circumstances affecting the Program.
13. PRODUCT AVAILABILITY
Products and flavors are subject to availability.
Deanan may modify product selections, substitute products where appropriate, temporarily discontinue products, or remove products from a campaign when inventory, production, food safety, supply chain, or other operational conditions require it.
14. PROMOTIONAL MATERIALS AND BRAND USE
Deanan may provide Organizers and Participants with approved digital images, links, QR codes, flyers, product information, or other promotional materials.
Organizers and Participants may use these materials solely for promoting an authorized Deanan fundraising campaign.
Deanan trademarks, logos, product images, or other intellectual property may not be altered or used in a false or misleading manner without Deanan’s permission.
15. PROHIBITED CONDUCT
Organizers and Participants may not:
- Make false or misleading statements regarding Deanan, its products, or the fundraising Program;
- Misrepresent the percentage or amount of proceeds benefiting the organization;
- Create fraudulent orders or transactions;
- Use the Program for unlawful purposes;
- Misrepresent their authority to act on behalf of an organization;
- Manipulate transactions to improperly obtain fundraising credit, incentives, or payments; or
- Use Deanan’s name or branding in a manner that falsely suggests a relationship or endorsement beyond the authorized fundraising campaign.
Deanan may suspend or terminate participation when it reasonably believes these Terms have been violated.
16. ORGANIZER RESPONSIBILITY FOR PARTICIPANTS
The Organizer is responsible for communicating applicable campaign requirements to Participants and ensuring that Participants use the Program appropriately.
Deanan may communicate directly with the Organizer concerning campaign administration, payments, customer issues, incentives, documentation, or compliance matters.
17. CAMPAIGN INCENTIVES
If Deanan offers incentives, prizes, gift cards, bonuses, or other promotional benefits, eligibility will be determined according to the rules communicated for the applicable campaign.
Canceled, refunded, fraudulent, disputed, or charged-back transactions may be excluded when determining eligibility.
18. RECORDS AND REVIEW
Deanan’s transaction and payment records will be used to determine qualifying campaign sales and amounts payable under the Program, subject to correction of verified errors.
Organizers should promptly notify Deanan if they believe a campaign total or payment calculation is incorrect.
19. LIMITATION OF RELATIONSHIP
Participation in the Program does not create an employment, partnership, joint venture, franchise, agency, or similar relationship between Deanan and an Organizer or Participant.
Organizers and Participants are independent parties voluntarily participating in the Deanan fundraising Program.
20. MODIFICATIONS
Deanan may update these Terms periodically to reflect changes to its fundraising Program, payment processes, laws, regulations, or operational requirements.
The Terms applicable to a specific campaign will generally be those in effect when the campaign begins unless a change is necessary for legal, regulatory, fraud-prevention, food-safety, payment-processing, or similar compliance purposes.
21. ACCEPTANCE OF TERMS
By registering for, creating, managing, or participating in a Deanan online fundraising campaign, the Organizer acknowledges that they have read, understood, and agreed to these Terms.
The Organizer specifically acknowledges and agrees that:
A W-9 is not required to begin a fundraising campaign; however, Deanan will not issue the Organizer’s fundraising payout until a properly completed W-9 and all other required payment information have been received and accepted.
The Organizer further acknowledges that Deanan will make three reasonable attempts to contact the Organizer regarding missing payment information and that unpaid proceeds may be held following the campaign closing date and thereafter handled in accordance with these Terms and applicable law.
Electronic acceptance of these Terms will have the same effect as a written acceptance or signature.
